1. Acceptance of Terms

1.1 Binding Agreement: These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and First AI Corp. ("Justee," "we," "us," or "our"). By accessing or using our Services (“the Service”, “Service”, or “Services”), you agree to comply with and be bound by these Terms and our Privacy Policy, available at justee.ai/privacy-policy.

1.2 Eligibility: You represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1.3 Electronic Communications: You consent to receive communications from us electronically, such as emails or notices posted on our website, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

1.4 Declining Updated Terms: If we update these Terms, you will be asked to review and accept the updated version. If you decline the updated Terms, your account will be suspended and you will no longer be able to access the Services. You will still be able to export your data, delete your account, or reconsider and accept the updated Terms. If you take no action, your account will remain suspended until you accept the current Terms or delete your account.

2. About Us

Justee.ai is an AI-powered platform providing tools (including, but not limited to) for legal research, document analysis, cloud storage, and document editing. We assist users in identifying potential non-compliance issues within documents using various technological solutions. Justee is not a law firm and does not provide legal advice or legal service. For more information, please visit justee.ai.

3. Account Registration and Responsibilities

3.1 Account Creation: To access certain features, you must create an account by providing accurate, current, and complete information, including but may be not limited to your name and email address. You agree to update your information promptly if it changes.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Sharing your account is strictly prohibited. You may change your password at any time through your account settings. We recommend using a strong, unique password and updating it periodically. You agree to notify us immediately via email at

3.3 Third-Party Authentication (Social Login): You may create an account or log in using third-party authentication services, including Google Sign-In and LinkedIn Sign-In. By choosing to authenticate through these services:

Authorization: You authorize us to access and receive certain information from your third-party account, including your name, email address, and profile picture, as permitted by the third-party service and your privacy settings on that service.

Third-Party Terms: Your use of third-party authentication services is subject to the terms of service and privacy policies of those third parties (Google and LinkedIn). We are not responsible for the practices of these third-party services.

Data Use: We use the information received from third-party authentication services solely to create and maintain your account, authenticate your identity, and provide our Services. Your profile picture from these services may be displayed within our Services.

Disconnection: You may disconnect your third-party authentication at any time through your account settings. However, this may affect your ability to log in to your account if you do not have an alternative authentication method configured.

Account Linking (Same Email Address): If you sign up using one social login provider (e.g., Google) and later attempt to sign in using a different provider (e.g., LinkedIn) that is associated with the same email address, your accounts will be automatically linked. This means:

  • Both social login methods will be connected to the same Justee account.
  • You will be able to log in using either social provider.
  • All your documents, analyses, and account data will be accessible regardless of which provider you use to log in.
  • Your profile picture may be updated to reflect the most recently used social provider.

This automatic linking is based on the verified email address associated with your social accounts. If you do not wish for your accounts to be linked, please use different email addresses for different social providers, or contact us at

4. Use of Services

4.1 Permitted Use

We grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for your personal or internal business purposes, strictly in accordance with these Terms.

4.2 Prohibited Activities

You agree not to:

Unlawful Use: Use the Services for any illegal or unauthorized purpose.

Intellectual Property Infringement: Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

Modification and Derivative Works: Modify, adapt, translate, or create derivative works based on the Services.

Reverse Engineering: Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or technology behind the Services.

Automated Access: Use any automated systems or software to extract data from the Services ("screen scraping") without our prior written consent.

Misrepresentation: Misrepresent the origin of any content or impersonate any person or entity.

Interference: Interfere with or disrupt the integrity or performance of the Services.

Competitive Use: Use the Services to build a competitive product or service or for any other competitive purposes.

Acting Against the Service: Use the Services in any manner that may harm, undermine, or interfere with the operation, functionality, security, or reputation of the Service or the interests of the Service or its employees, shareholders, affiliates, partners.

4.3 Prohibited Content

You agree not to upload, submit, or transmit any content (including but not limited to documents, images, profile pictures, or other files) that:

Illegal Content: Contains, depicts, or promotes illegal activities, including but not limited to child exploitation material, terrorism, or content that violates any applicable laws.

Explicit or Adult Content: Contains pornography, sexually explicit material, or nudity, unless such content is part of a legitimate legal document being analyzed for professional purposes.

Violent or Graphic Content: Depicts graphic violence, gore, or content that promotes violence against individuals or groups.

Hateful Content: Promotes hatred, discrimination, or violence based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics.

Malicious Content: Contains malware, viruses, or other harmful code, or content designed to exploit, harm, or deceive others.

4.4 Content Moderation

Automated Scanning: We employ automated content moderation technologies, including artificial intelligence-based image analysis, to detect and prevent the upload of prohibited content. By using our Services, you consent to your uploaded content being scanned for compliance with our content policies.

Right to Remove: We reserve the right to remove, disable access to, or refuse to process any content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable, harmful, or inappropriate.

Account Suspension: We may suspend or terminate the accounts of users who repeatedly or egregiously violate our content policies, with or without notice.

Reporting to Authorities: We may report illegal content, including but not limited to child exploitation material, to appropriate law enforcement authorities and cooperate fully with any resulting investigations.

False Positives: If you believe your content was incorrectly flagged or removed, you may contact us at

5. User Content and Intellectual Property

5.2 Ownership: You retain all rights, title, and interest in and to your User Content, subject to the licenses granted herein.

6. Privacy and Data Protection

6.1 Compliance: We implement data protection practices designed to comply with applicable data protection laws. Where and to the extent those laws apply to us, we comply with the California Consumer Privacy Act and related regulations (the the California Consumer Privacy Act and the the California Privacy Rights Act), and the Delaware Online Privacy Protection Act (the Delaware Online Privacy and Protection Act), as applicable. If we do not meet the statutory thresholds that define a "business" or otherwise trigger obligations under those laws, we will nevertheless maintain reasonable privacy and security measures and will update our privacy disclosures and practices promptly if our legal obligations change.

6.2 Privacy Policy: Our collection and use of personal data are described in our Privacy Policy at justee.ai/privacy-policy, which is incorporated by reference into these Terms.

6.3 Third-Party Authentication Data: When you use third-party authentication services (Google Sign-In or LinkedIn Sign-In), we collect and process personal data as described in Section 3.3 and our Privacy Policy. This includes your name, email address, and profile picture URL. We process this data to provide our Services and in accordance with applicable privacy laws.

6.4 User Rights: You have the right to access, correct, or delete your personal data, including data received from third-party authentication services. California and Delaware residents have additional rights as described in our Privacy Policy. Contact us at

6.5 Document Sharing: Registered users may share their document analyses with others through the following methods:

Private Sharing: You may share your analysis with specific individuals by providing their email addresses. Recipients who are registered users will have immediate access; non-registered recipients will receive an email invitation and can access the shared analysis upon creating an account. You are solely responsible for ensuring you have the right to share the document content with the intended recipients and for verifying the accuracy of email addresses provided.

Public Link Sharing: Before enabling a public link that allows anyone with the URL to view your analysis or document(s) without requiring authentication, you confirm that your analysis or document(s) does not contain personal, sensitive, or regulated information. By enabling public link sharing, you acknowledge and accept the risks of making your analysis or document(s) publicly accessible, and you agree to comply with all applicable privacy and data protection laws. Justee may implement technical safeguards, provide opt-out mechanisms, or restrict public sharing for analyses or document(s) identified as containing sensitive data.

6.6 User Responsibility for Shared Content: By sharing a document analysis, you represent and warrant that: (a) you have the legal right to share the underlying document and its analysis; (b) sharing the content does not violate any confidentiality obligations, attorney-client privilege, or third-party rights; (c) you will not share content containing sensitive personal information of others without their consent; and (d) you accept full responsibility for determining the appropriateness of sharing with any particular recipient.

6.7 No Liability for Shared Content: Justee provides sharing functionality as a convenience feature only. We are not responsible for: (a) any unauthorized access to shared content; (b) any misuse of shared content by recipients; (c) any breach of confidentiality resulting from your decision to share; (d) any consequences arising from public link sharing; or (e) any claims by third parties related to content you have shared. You agree to indemnify and hold Justee harmless from any claims arising from your sharing activities.

6.8 Anonymous Analysis Access: Users who submit documents for analysis without creating an account ("Anonymous Analyses") receive temporary access to their analysis results. Anonymous Analyses are accessible via a unique URL for twenty-four (24) hours from the time of creation, after which the analysis expires and becomes permanently inaccessible. Justee makes no guarantee of availability for Anonymous Analyses and reserves the right to delete expired analyses without notice. To retain permanent access to your analyses, you must create a registered account. Anonymous Analyses cannot be shared with others; sharing functionality is available only to registered users.

6.9 Analytics and Cookies: We use analytics services, including Google Analytics and PostHog, to analyze website traffic, user behavior, and improve our Services. Google Analytics is also used to support Google Ads conversion tracking and remarketing. These services may use cookies and similar tracking technologies to collect information about your use of our Services. You can manage your cookie preferences through the "Privacy settings" link in our website footer. For more details about our use of cookies and analytics, please refer to Section 11 of our Privacy Policy.

7. Acceptance of Terms

7.1 Billing

Payment Information: You agree to provide current, complete, and accurate billing information.

Authorization: You authorize us to charge your payment method for fees incurred.

Automatic Renewal: Subscriptions automatically renew unless canceled prior to the renewal date.

7.2 Cancellation and Refunds

Cancellation: You may cancel your subscription at any time via your account settings.

Refunds: Refunds are provided in accordance with applicable laws.

Effect of Cancellation: Access to paid features continues until the end of the current billing cycle.

7.3 Changes to Fees

Notice: We may modify our fees with at least 30 days' notice.

Disagreement: If you do not agree with the fee changes, you may cancel your subscription before the new fees take effect.

8. Disclaimers

8.1 No Legal Advice

Informational Purposes Only: The Services and Output are for informational purposes and do not constitute legal advice.

No Attorney-Client Relationship: Your use of the Services does not create an attorney-client relationship between you and Justee.

8.2 Services Provided "As Is"

No Warranties: The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

No Guarantee of Accuracy: We do not warrant that the Output is accurate, reliable, or correct.

8.3 Third-Party Content

No Responsibility: We are not responsible for any third-party content accessed through the Services.

8.4 Document Comparison and Change Detection

Automated Analysis: Our document comparison and change detection features use automated technology, including artificial intelligence and computer vision algorithms, to identify differences between documents. While we strive to provide accurate and comprehensive change detection, you acknowledge and agree that:

No Guarantee of Completeness: The document comparison feature may not detect all changes, differences, or modifications between documents. Certain changes may be missed due to the inherent limitations of automated analysis technology, including but not limited to subtle formatting changes, certain font modifications, embedded content, complex document structures, or changes that fall below detection thresholds.

Potential for False Positives: The document comparison feature may occasionally identify changes that do not represent actual differences, or may mischaracterize the nature or extent of detected changes. Such false positives may result from document rendering variations, conversion processes, or limitations in change detection algorithms.

User Responsibility for Review: The document comparison feature is provided as an assistive tool only and does not replace careful human review. You are solely responsible for independently verifying all changes identified by the Service and for conducting your own thorough review of documents. You should not rely exclusively on our automated change detection for critical decisions, legal matters, or any situation where undetected changes could have material consequences.

No Liability for Detection Errors: Justee expressly disclaims any and all liability arising from or related to: (a) changes or modifications that the document comparison feature fails to detect; (b) changes that are incorrectly identified or mischaracterized; (c) any decisions made or actions taken based on the results of document comparison; and (d) any damages, losses, or consequences resulting from reliance on the completeness or accuracy of change detection results.

Not a Substitute for Professional Review: Document comparison results do not constitute professional advice of any kind. For legal, financial, or other critical documents, you should engage qualified professionals to conduct independent document review.

8.5 PII Detection and Redaction

Automated PII Protection: Justee employs automated personally identifiable information ("PII") detection and pseudonymization technology to identify and redact certain categories of personal and corporate data from uploaded documents and chat messages before such content is transmitted to third-party AI service providers for processing. This feature uses natural language processing and pattern-matching algorithms to detect PII including, but not limited to: (a) personal data such as names, Social Security numbers, email addresses, phone numbers, physical addresses, dates of birth, credit card numbers, bank account numbers, driver's license numbers, and passport numbers; and (b) corporate and business data such as company and organization names, business addresses, SWIFT/BIC codes, IBAN numbers, bank routing numbers, business license numbers, attorney bar identifiers, and corporate tax identifiers (EIN).

No Guarantee of Detection: The PII detection feature is provided on an "as is" and "best effort" basis. Justee does not warrant, represent, or guarantee that its automated PII detection will identify, redact, or protect all types of personally identifiable information in all types of documents, file formats, or languages. You acknowledge and agree that the automated PII detection system may not identify all instances of PII in your documents or messages. Certain categories of PII — including but not limited to cryptocurrency wallet addresses, MAC addresses, and non-standard or domain-specific identifiers — may not be detected. Detection accuracy may also vary based on document formatting, language complexity, and the structure of PII within the text. The Service is not designed to ensure compliance with any specific data protection regulation (e.g., HIPAA, GDPR, CCPA) solely through PII detection, and users requiring regulatory compliance should implement their own data protection measures independently of the Service.

Potential for Errors: The PII detection system may produce false positives (identifying non-PII content as PII) or false negatives (failing to identify actual PII). The system may also partially detect PII, redact PII incorrectly, or encounter processing errors that prevent PII detection from operating.

Service Availability: The PII detection system may be temporarily unavailable due to maintenance, system load, or technical issues. In such circumstances, document processing may proceed without PII detection active. Justee is not obligated to notify you if PII detection is unavailable at the time of processing, and you should not assume that PII detection is active for any given upload or message.

User Responsibility: PII detection is provided as an additional supplementary safeguard only and does not transfer responsibility for data protection from you to Justee. You are solely responsible for all content you upload to the Service, including ensuring that documents do not contain personal information you are not authorized to share or that requires protection beyond automated detection capabilities. Automated PII detection does not replace your obligation to review and redact sensitive information from documents prior to uploading. We strongly recommend that you remove or redact all sensitive personal information from documents before uploading them to the Service.

No Liability: Justee expressly disclaims any and all liability arising from or related to: (a) PII that the detection system fails to identify or redact; (b) PII that is incorrectly identified, partially redacted, or improperly processed; (c) any disclosure of PII resulting from system errors, service interruptions, or technical failures; (d) any decisions made or actions taken in reliance on the PII detection feature; and (e) any damages, losses, or consequences resulting from the limitations of automated PII detection. This feature may be modified, suspended, or discontinued at any time without notice.

PII Redaction Tool: In addition to the automatic PII redaction described above, Justee provides a standalone PII Redaction Tool (available at justee.ai/pii-redaction) that allows users to upload documents for the purpose of detecting and redacting personally identifiable information from the document itself. The redacted document is returned to the user in the same format as the original. The PII Redaction Tool is subject to all disclaimers, limitations, and user responsibilities described in this Section 8.5. Specifically: (a) the PII Redaction Tool does not guarantee detection or removal of all PII; (b) detection accuracy may vary by document format, language, and content structure; (c) you are solely responsible for reviewing the redacted output before distributing it to any third party; (d) the PII Redaction Tool is not a substitute for manual review by a qualified professional; (e) Justee accepts no liability for PII that remains in the redacted document; and (f) you must independently verify that the redacted document meets your compliance requirements. Uploaded original files are deleted immediately after processing. Redacted output files are intended to be deleted immediately after the user successfully downloads the file, and in any case within 30 minutes of processing as a safety-net, provided no technical errors prevent the scheduled deletion. Justee does not guarantee any specific retention period and reserves the right to modify deletion timelines at any time, provided that any such modification will comply with all applicable privacy and security laws, including statutory retention and deletion requirements, and Justee will not retain personal information longer than necessary for the purposes for which it was collected, or as otherwise required by law.

Mandatory User Verification: Regardless of which PII feature you use (automatic redaction during analysis, or the standalone PII Redaction Tool), you are required to independently verify all output before relying on it for any purpose, including but not limited to regulatory compliance, litigation, disclosure to third parties, or public distribution. Failure to verify output is at your sole risk.

Scope: Automatic PII detection and redaction applies to documents submitted for compliance review, the first document uploaded to a chat thread, and chat messages sent through the AI assistant. The standalone PII Redaction Tool applies to documents explicitly uploaded for PII redaction at justee.ai/pii-redaction. PII features do not apply to all content or interactions within the Service, including but not limited to account registration information, billing details, or content shared through public links.

8.6 Additional Disclaimers

Additional disclaimers may be presented during your use of the Service. These disclaimers will supplement the Terms of Service, except where they conflict with the existing terms.

9. Limitation of Liability

9.1 Limitation Amount

Maximum Liability: To the fullest extent permitted by law, Justee's total liability to you shall not exceed the greater of $100 or the total amount paid by you to Justee for the thirty days preceding the claim.

9.2 Types of Damages Excluded

No Indirect Damages: Justee shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or other damages.

No Liability for Losses: This includes, without limitation, damages for loss of profits, goodwill, data, or other intangible losses.

9.3 Exceptions

Non-Excludable Rights: Some jurisdictions do not allow the exclusion of certain warranties or limitations, so some of the above exclusions may not apply to you.

9.4 Protection of Officers and Employees

Extended Protection: The limitations of liability extend to our officers, directors, employees, shareholders, agents, and affiliates.

10. Indemnification

10.1 Your Obligations

Defense and Indemnity: You agree to defend, indemnify, and hold harmless Justee and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.

10.2 Procedure

Notice of Claim: We will promptly notify you of any claim.

Control of Defense: You will have control of the defense and settlement, subject to our right to participate.

Cooperation: We will reasonably cooperate in the defense at your expense.

11. Termination and Account Deletion

11.1 By You

Termination Rights: You may terminate your account at any time through the account deletion feature in your account settings.

Account Deletion Process: To delete your account, navigate to your account settings and select "Delete my account." You will be required to confirm your decision by typing "DELETE" and, for accounts with password authentication, entering your current password. These safeguards prevent accidental or unauthorized deletion. Account deletion is processed immediately upon confirmation.

11.2 By Justee

For Cause: We may suspend or terminate your access immediately if you breach these Terms or engage in prohibited conduct.

Without Cause: We may terminate the Services or your access with 30 days' notice.

11.3 Effect of Account Deletion

Permanent Deletion: When you delete your account, the following data is permanently and irreversibly deleted:

  • Your profile and personal information
  • All documents you have uploaded
  • All document analyses and their results
  • Your subscription information in our system
  • Your profile picture
  • Social login connections (Google, LinkedIn)
  • All saved preferences and settings

No Recovery: Account deletion cannot be undone. Once deleted, we cannot recover your account, documents, analyses, or any other data. We strongly recommend downloading any important documents before deleting your account.

Active Subscriptions: If you have an active paid subscription, deleting your account will cancel your subscription. You will not receive a refund for any unused portion of your subscription period. We recommend canceling your subscription first through the billing portal if you wish to use your remaining subscription time.

Cessation of Rights: Upon account deletion, all rights granted to you under these Terms cease immediately.

Retained Data: Certain information is retained after account deletion:

  • Transaction Records: Payment and billing records for tax and accounting compliance.
  • System Logs: Our system logs are not deleted upon account deletion. These logs may contain your user identifier, email address, document names, document metadata, analysis requests and results, error messages (which may include content excerpts), IP addresses, timestamps, and other technical data. Logs are retained for security monitoring, fraud prevention, debugging, service improvement, and legal compliance.
  • Legal Compliance Data: Any data required for legal obligations, dispute resolution, or enforcement of our agreements.

Survival: Provisions that by their nature should survive termination shall survive, including indemnification, limitation of liability, and dispute resolution provisions.

12. Dispute Resolution

12.1 Governing Law

Applicable Law: These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict of laws principles; provided, however, that for California residents, California law will govern with respect to privacy rights and obligations under the California Consumer Privacy Act, the California Privacy Rights Act, and related statutes, to the extent such rights cannot be waived by contract.

12.2 Informal Resolution

. If you do not receive a response within 10 business days, you will contact us through other channels listed on our website at justee.ai. You agree to make a good faith effort to resolve the dispute informally, allowing for a minimum of 90 (ninety) days for resolution.

12.3 Arbitration Agreement

Binding Arbitration: Except for certain exceptions below, all disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Location and Procedure: Arbitration will be conducted in Delaware or a location mutually agreed upon, and may be conducted by telephone or online.

12.4 Class Action Waiver

No Class Actions: Disputes must be resolved on an individual basis. You waive the right to participate in class actions or representative proceedings. This class action waiver does not apply to claims arising under the California Consumer Privacy Act (CCPA), the California Privacy Rights Act (CPRA), or any other non-waivable statutory rights. Any waiver of rights under such statutes shall be void and unenforceable to the extent prohibited by law.

12.5 Exceptions

Small Claims: You may assert claims in small claims court if they qualify.

Injunctive Relief: Either party may seek injunctive relief in court for intellectual property infringement.

12.6 Jurisdiction

Exclusive Venue: If arbitration is not enforceable, you consent to the exclusive jurisdiction of the state and federal courts in Delaware.

12.7 Time Limitations

Statute of Limitations: Any claim must be filed within one (1) year after the cause of action arises.

13. International Use

13.1 Export Controls

Compliance: You agree to comply with all export and re-export restrictions and regulations.

Prohibited Users: You represent that you are not located in or a resident of any country subject to U.S. embargo, applicable sanctions, or designated as a terrorist-supporting country.

13.2 International Users

Responsibility: If you access the Services from outside the United States, you are responsible for compliance with local laws.

14. Intellectual Property Rights

14.1 Ownership by Justee

Services and Content: We retain all rights, title, and interest in the Services and all related intellectual property.

14.2 Feedback

License to Use Feedback: If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without compensation.

15. Force Majeure

No Liability: We are not liable for any delays or failures arising from events beyond our reasonable control, including but not limited to technical malfunctions, technological issues, natural disasters, war, terrorism, civil unrest, government actions, or disruptions to Internet services.

16. Changes to Services and Terms

16.1 Service Modifications

Right to Modify: We may modify or discontinue the Services or any part thereof.

Notice: We will provide reasonable notice of significant changes.

16.2 Updates to Terms

Right to Update: We may update these Terms from time to time.

Acceptance of Changes: Continued use after changes constitutes acceptance of the new Terms.

Notification: We will notify you of significant changes via email or through the Services.

17. Assignment

17.1 By You

Restrictions: You may not assign or transfer your rights or obligations without our prior written consent.

17.2 By Justee

Permitted Assignment: We may assign or transfer these Terms or any rights or obligations hereunder without your consent.

18. Third-Party Beneficiaries

Beneficiaries: Our affiliates, officers, directors, employees, agents, suppliers, licensors, and distributors are intended third-party beneficiaries and may enforce these Terms directly.

19. Severability

19.1 Partial Invalidity

Severability Clause: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed, and the remaining provisions of these Terms shall remain in full force and effect.

19.2 Preservation of Agreement

Continued Validity: The invalidity of any provision shall not affect the validity of the remaining provisions, which shall continue to govern the relationship between you and Justee.

20. Waiver

No Waiver of Rights: Failure to enforce any provision is not a waiver of future enforcement of that or any other provision.

21. Entire Agreement

Integration Clause: These Terms, along with the Privacy Policy and any additional terms, constitute the entire agreement between you and Justee and supersede all prior agreements, representations, and understandings.

22. Survival

Provisions That Survive: Sections related to intellectual property, indemnification, disclaimers, limitation of liability, dispute resolution, and other provisions intended to survive termination shall survive any termination or expiration of these Terms.

24. Governing Language

English Version Controls: These Terms are provided in English. Translations are for convenience, and the English version prevails in case of any conflict.

25. No Agency Relationship

Independent Parties: No joint venture, partnership, employment, or agency relationship exists between you and Justee as a result of these Terms or use of the Services.

26. Headings

For Convenience Only: Section headings are for reference purposes only and do not affect the interpretation of these Terms.

27. Protection of Confidential Information

27.1 Definition

Confidential Information: Includes non-public information disclosed by either party that is designated as confidential or should reasonably be understood to be confidential.

27.2 Obligations

Use and Disclosure: You agree not to disclose our Confidential Information without our prior written consent.

Protection: You will use at least the same degree of care to protect Confidential Information as you use to protect your own confidential information.

28. Additional Disclaimers

Third-Party Services: We are not responsible for services provided by third parties, even if accessed through our Services.

Beta Features: Any beta features are provided "as is" and may contain defects.

29. Electronic Signatures and Agreements

Consent: Your use of the Services includes the ability to enter into agreements electronically.

Legal Effect: You acknowledge that your electronic submissions constitute your agreement and intent to be bound by these Terms.

30. Acknowledgment

Understanding and Acceptance: By clicking "I Agree" or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

31. Affiliate Program

31.1 Overview

Justee operates an affiliate and referral partner program (the "Affiliate Program") through our third-party partner platform, PartnerStack. Individuals and entities accepted into the Affiliate Program ("Affiliates") may earn commissions for qualifying referrals of new paying customers to Justee. Participation in the Affiliate Program is subject to these Terms, the PartnerStack Network Terms of Service, and any additional program terms presented at the time of application or made available through the PartnerStack dashboard.

31.2 Eligibility

To participate in the Affiliate Program, you must: (a) be at least 18 years of age and have the legal capacity to enter into binding contracts; (b) not be a current employee, contractor, officer, or director of Justee or any of its affiliates; (c) not refer yourself, accounts you control, or members of your immediate household (no self-referrals); (d) maintain a PartnerStack account in good standing; and (e) comply with all applicable laws and regulations, including, where applicable, the U.S. Federal Trade Commission's Endorsement Guides (16 CFR Part 255). Justee reserves the right to approve or reject any Affiliate application in its sole discretion and to terminate any Affiliate's participation at any time.

31.3 Commission Structure

Commission Rate: Affiliates earn a commission equal to twenty-five percent (25%) of Net Revenue collected by Justee from each qualifying referred customer for the first twelve (12) months following that customer's initial paid subscription. After this twelve-month period, no further commissions are earned on that customer's continuing subscription.

Definition of "Net Revenue": "Net Revenue" means subscription fees actually received by Justee from a referred customer, net of: (a) refunds, chargebacks, and credits; (b) applicable sales, use, value-added, or similar transaction taxes; (c) payment processing fees and other third-party transaction costs; (d) discounts, coupons, and promotional credits applied to the order; and (e) any amounts attributable to free trials, complimentary upgrades, or services provided at no charge.

Qualifying Referrals: A referral qualifies for commission only if (a) the referred user reaches Justee through the Affiliate's unique tracking link or coupon code provided by PartnerStack; (b) the referral is recorded by PartnerStack's tracking system within the cookie attribution window in effect at the time of referral; (c) the referred user is a new customer not previously known to Justee; and (d) the referred user makes a paid subscription purchase that is not subsequently refunded or charged back. Self-referrals, fraudulent referrals, and referrals that violate these Terms do not qualify.

Payouts: Commission tracking, accrual, and payouts are handled by PartnerStack under its own terms. Minimum payout thresholds, payout cadence, accepted payment methods, and currency conversion are governed by the PartnerStack platform. Justee is not a party to the payment relationship between you and PartnerStack and is not responsible for delays, fees, or errors arising from PartnerStack's payment processing.

31.4 Tax Responsibility

Affiliates are independent contractors and are solely responsible for all taxes, withholdings, and reporting obligations associated with commissions earned. U.S.-based Affiliates who earn $600 or more in a calendar year may receive an IRS Form 1099 (typically issued by PartnerStack on behalf of Justee). You are responsible for providing accurate tax information (including a valid Form W-9 for U.S. persons or Form W-8 series for non-U.S. persons) through PartnerStack. Justee may withhold or delay commission payouts where required tax documentation has not been provided.

31.5 Prohibited Conduct

Affiliates agree not to engage in any of the following activities, each of which may result in immediate forfeiture of commissions, termination from the Affiliate Program, and any other remedies available to Justee:

  • Self-Referrals: Referring yourself, accounts under your control, or members of your immediate household.
  • Trademark Bidding: Bidding on, purchasing, or otherwise using "Justee," "Justee AI," "Justee.ai," or any confusingly similar variation as keywords, ad copy, or display URLs in paid search advertising on Google Ads, Bing Ads, or any other search advertising platform, except as expressly authorized in writing by Justee.
  • Misleading Claims: Making false, misleading, deceptive, or unsubstantiated claims about Justee, the Services, pricing, features, performance, results, or affiliations. This includes fabricated testimonials, fake reviews, and exaggerated outcome guarantees.
  • Unsolicited Communications (Spam): Distributing referral links through unsolicited email, SMS, push notifications, or any communications that violate the CAN-SPAM Act, Telephone Consumer Protection Act (TCPA), CASL, or other applicable anti-spam laws.
  • Incentivized Clicks and Cookie Stuffing: Offering rewards in exchange for clicking referral links absent a genuine purchase intent, automatically loading referral links via iframes, redirects, pop-unders, or any other technique that drops attribution cookies without an affirmative user action ("cookie stuffing").
  • Coupon and Discount Site Abuse: Posting referral links or coupon codes on coupon, deal, or rewards aggregator sites in a manner that intercepts customers who would otherwise have purchased directly.
  • Domain and Brand Impersonation: Registering or using domain names, social media handles, or app names that contain "Justee" or any confusingly similar variation, or otherwise impersonating Justee or its personnel.
  • Confidential, Restricted, or Adult Channels: Promoting Justee on websites or platforms that contain illegal content, sexually explicit material, hate speech, or content otherwise prohibited under Section 4.3 of these Terms.
  • FTC Disclosure Failures: Failing to clearly and conspicuously disclose your material connection to Justee in posts, videos, reviews, comparisons, or any other promotional content, as required by 16 CFR Part 255 and equivalent advertising-disclosure rules in your jurisdiction.
  • Fraud: Generating clicks, sign-ups, or purchases through bots, click farms, stolen payment instruments, falsified identities, or any other fraudulent means.

31.6 FTC Endorsement Disclosure Requirement

When promoting Justee, you must clearly and conspicuously disclose that you receive compensation for qualifying referrals. Disclosures must be placed where consumers will easily notice them — at the start of written reviews, in the visible portion of social posts before any "more" link, and orally and on-screen for video content. Phrases such as "#ad," "#sponsored," "Justee affiliate," or "I earn a commission if you sign up through this link" are acceptable when placed prominently. You agree to indemnify Justee for any claims, fines, or penalties arising from your failure to comply with disclosure laws.

31.7 Use of Justee Brand Assets

Subject to your continued compliance with these Terms, Justee grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Justee name, logo, and approved marketing assets ("Brand Assets") solely to promote Justee in accordance with the Affiliate Program. You may not modify Brand Assets, combine them with other marks in a manner that suggests endorsement of third-party products, or use them in any way that could damage Justee's reputation. All goodwill arising from your use of the Brand Assets inures solely to Justee. This license terminates automatically upon termination of your participation in the Affiliate Program.

31.8 No Agency, Employment, or Authority to Bind

Affiliates are independent contractors. Nothing in these Terms or your participation in the Affiliate Program creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and Justee. You have no authority to enter into contracts, make representations, accept service of process, or otherwise bind Justee in any manner. You will not hold yourself out as an employee, agent, or authorized representative of Justee.

31.9 Termination, Clawback, and Modification

Termination: Justee may terminate, suspend, or restrict your participation in the Affiliate Program at any time, with or without cause, with or without prior notice, in its sole discretion. You may also terminate your participation at any time by deactivating the relevant PartnerStack account or providing notice through the PartnerStack platform. Upon termination, your right to use Brand Assets ceases immediately, you must stop displaying Justee marketing materials and referral links, and any unpaid commissions that have not yet vested may be forfeited.

Clawback for Refunds and Fraud: Justee and PartnerStack reserve the right to reverse, withhold, or "claw back" commissions attributable to (a) referrals later refunded, charged back, or canceled within the refund window; (b) referrals later determined to be fraudulent, self-referrals, or in violation of these Terms; and (c) any clerical or tracking error.

Program Modifications: Justee may modify the commission rate, attribution window, qualifying-referral criteria, eligible product lines, or any other Affiliate Program term at any time, with reasonable advance notice through the PartnerStack platform or email. Continued participation after the effective date of a modification constitutes acceptance of the modified terms. Commissions for referrals already attributed before the effective date of a modification are paid out under the terms in effect at the time of attribution.

31.10 Data Sharing with PartnerStack

By participating in the Affiliate Program, you acknowledge that Justee shares limited customer data with PartnerStack as necessary to track referrals, attribute conversions, and process commission payouts. The data shared and the basis for sharing are described in our Privacy Policy at justee.ai/privacy-policy. Affiliates must comply with applicable privacy and data protection laws when collecting or using any data about referred users.

31.11 Indemnification

In addition to the indemnification obligations in Section 10, Affiliates agree to defend, indemnify, and hold harmless Justee and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your participation in the Affiliate Program; (b) any violation of Section 31; (c) the content of your promotional materials or your promotional methods; (d) any failure to comply with disclosure, anti-spam, or advertising laws; and (e) any tax, withholding, or reporting obligation that you fail to satisfy.

31.12 Investigation, Audit, and Right to Withhold

Investigation and Withholding: Justee may, in its sole discretion, investigate any referral, click pattern, account, or affiliate activity that it reasonably suspects of fraud, abuse, or violation of these Terms. During the pendency of such investigation, Justee may freeze, withhold, or delay payment of any commissions associated with the affected activity for up to ninety (90) days, or longer if required by ongoing legal process or governmental investigation. If the investigation confirms fraud or a violation, the affected commissions are forfeited and may be clawed back under Section 31.9. If the investigation is closed without finding a violation, withheld commissions will be released in the next regular payout cycle.

Audit Rights: Upon reasonable request, you agree to provide Justee with information necessary to verify your compliance with Section 31, including (without limitation) the identity and URLs of websites, social accounts, mailing lists, paid-media campaigns, and other channels through which you promote Justee, copies or screenshots of promotional materials, and aggregate traffic-source reporting from PartnerStack or your own analytics. Justee may request such information no more than twice in any twelve-month period absent a reasonable suspicion of violation. Failure to respond within fifteen (15) business days is itself a material breach of these Terms.

31.13 Customer Ownership

All customers acquired through the Affiliate Program are customers of Justee. As between you and Justee, Justee owns the entire customer relationship, including any account, contract, and data of the referred customer, and may communicate with, market to, and service that customer without further obligation to you beyond the commissions expressly earned under Section 31.3. You acquire no ongoing right, title, claim, or interest in any referred customer or in the revenue generated from that customer beyond the twelve-month commission window, and you have no right to solicit referred customers to migrate to a competing product or to interfere with Justee's relationship with them during or after your participation in the Affiliate Program.

31.14 Commission Statements and Dispute Window

Commission statements are made available through the PartnerStack dashboard. You are responsible for reviewing each statement promptly. You must notify Justee in writing (via the contact channel published in the PartnerStack dashboard or to

) of any disputed amount, missing referral, or attribution error within thirty (30) days after the statement is made available. Any claim not raised within this thirty-day window is conclusively waived, and the corresponding statement is deemed final and accepted. This dispute window does not extend any limitations period for claims unrelated to commission accounting.
